PRESS RELEASE: New Name and New Strategy for Global Growth

DUNN, NC / APRIL 15, 2004

World’s Leading Supplier of Electric Motor Components Announces New Name, New Independence and New Strategy for Global Growth.

Energy Conversion Systems (ECS) is poised for growth in the design and manufacture of integrated energy conversion systems for the automotive, appliance and consumer products industries. ECS has transformed itself from a components division of the Morgan Auto/Consumer Global Business into an independent, ambitious new company offering technologically advanced design services and manufacturing to their list of internationally known clients.

The company, founded in 1906, had become the world’s leading supplier of electric motor components. Today, thanks to long-term customer relationships and a new vision of the industry’s future, ECS is uniquely poised to capture a larger market share for integrated systems.

ESC is capable of designing, testing and manufacturing more demanding subsystems and is positioned globally with consolidated operations on four continents. What had been an Americas-focused enterprise, ECS is now a streamlined organization with an eye to increasing their role in Asia and Europe.

Currently, ECS is the only provider of all vital energy conversion subsystems placing it in a strong position for growth in their core industries. They have had strong relationships with major manufacturers, some for longer than three decades, and these valued customers, as well as new clients, will benefit from ECS’s technically-advanced, integrated systems and design solutions that work to optimize cost and energy efficiency.

The leadership and strategy of ECS positions the company for growth in new and established markets with strong margins and solid returns on investment. Currently, the company employs staff in eight international design and manufacturing facilities built around three centers of excellence in Southeast Asia, Europe and the Americas.

ECS has as its lead partner Midmark Capital (www.midmarkcapital.com ), a leading US investment firm, with management support to ECS being provided by the current senior global management group. While reflecting a change in ownership, a separate agreement has been reached with Morgan Crucible for the provision of services and products where appropriate to the ongoing enterprise.

Morgan’s interest in allowing this transaction was to allow the Business to pursue its successful Systems Strategy in a more autonomous and entrepreneurial manner. The conversion to a Systems business was agreed as being outside Morgan’s traditional Materials focus, supporting a decision to pursue a more strategically aligned ownership.

Additional supportive acquisitions and alliances with the Investment Partners’ other portfolio companies are in the planning stages. The future of Energy Conversion Systems is bright as we move forward with our new name, while retaining our current strength as a unique, market-leading, Global Energy Conversion Systems supplier for Automotive, Battery Electric Vehicle, Power Tool, and Appliance technical applications.
